Terms of Service

The agreement between you and ValidMeet: who can use the app, the rules, subscriptions, and how disputes are resolved.

1. Agreement to these Terms

These Terms of Service are a binding agreement between you and ValidMeet. By creating an account or using the app, you agree to these Terms, our Privacy Policy, our Community Guidelines, and our Safety Policy, each of which is part of this agreement.

If you do not agree, do not create an account and do not use the app.

Section 17 contains an arbitration agreement and a waiver of your right to participate in a class action. You can opt out of arbitration within 30 days of creating your account. Please read it.

2. Who can use ValidMeet

You must be at least 18 years old to use ValidMeet. There are no exceptions, and we do not offer a version of the service for minors.

By creating an account you represent that you are at least 18, that you have never been convicted of a felony or a sex offense, that you are not required to register as a sex offender in any jurisdiction, and that you have the legal capacity to enter into this agreement.

We may require you to verify your identity, your age, or your phone number at any time, and we may restrict or close your account if you decline. We monitor for underage use and will remove accounts we believe belong to minors.

3. Your account

You are responsible for your account and everything that happens under it.

  • Accuracy. Your profile must describe you honestly. Photos must be of you and current.
  • Security. Keep your sign-in method secure. Tell us immediately if you believe someone else has access.
  • One person, one account. Do not create accounts for other people, run multiple accounts, or transfer your account to anyone.
  • No ban evasion. If we remove your account, you may not create a new one. We use face verification to detect this.

4. Content on ValidMeet

Three kinds of content exist on the service, and different rules apply to each.

Your Content

Everything you upload or send: photos, your bio, group and event descriptions, and messages. You keep ownership of it.

By posting it, you grant ValidMeet a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content for the purpose of operating, securing, and improving the service. This license ends when you delete the content or your account, except for copies retained for safety, legal, or backup purposes as described in our Data Deletion Policy.

You are responsible for your content. You represent that you own it or have the rights to post it, and that it does not violate anyone else's rights.

Member Content

Content other people post. We do not endorse it, we do not verify that it is true, and we are not responsible for it. Treat it with the same skepticism you would apply to anything a stranger tells you.

Our Content

Everything else: the app itself, the ValidMeet name and logo, the design, and the software. It belongs to us and is protected by copyright and trademark law. You may not copy it, reverse-engineer it, scrape it, or build a competing service from it.

5. Rules of use

You agree not to do any of the following. This list is part of the contract, and our Community Guidelines explain each in more detail.

  • Harass, threaten, stalk, intimidate, or abuse anyone, on or off the app.
  • Impersonate anyone, misrepresent your age or identity, or use someone else's photos.
  • Post or send sexually explicit content, nudity, or content that sexualizes minors in any way.
  • Solicit money, promote a business, advertise, run a giveaway, or recruit for anything.
  • Run any scam, including romance scams, crypto or investment pitches, and phishing.
  • Post hate speech or attack anyone based on race, ethnicity, national origin, religion, disability, sex, gender identity, or sexual orientation.
  • Use the service for anything illegal, including trafficking, prostitution, or drug sales.
  • Use bots, scrapers, or automation, or attempt to access the service by any means other than the app.
  • Interfere with the service, probe it for vulnerabilities, or circumvent any limit or safety feature.
  • Share another person's private information, or record or photograph someone at a meetup without their consent.

Off-app conduct counts

If we learn that you harmed someone you met through ValidMeet, we may act on your account as though the conduct happened on the service.

6. Meeting people in person

ValidMeet exists to help people meet in real life. That carries real risk, and you accept it.

We do not vouch for any member, we cannot confirm that anyone is who they claim to be beyond the face verification described in our Privacy Policy, and we are not responsible for the conduct of any member, online or in person.

You are solely responsible for your interactions with other members and for your own safety. Please read our Safety Guidelines before meeting anyone.

We do not conduct criminal background checks

ValidMeet does not conduct criminal background screenings on its members. Anyone who is able to commit identity theft can also falsify a dating profile. There is no substitute for acting with caution when communicating with any stranger who wants to meet you.

7. Reporting, enforcement, and appeals

You can report any member or content from inside the app, and you can block anyone at any time without reporting them. We review reports of objectionable content and act within 24 hours.

Depending on severity and history, we may remove content, issue a warning, restrict features, suspend an account, or ban it permanently. Serious cases are referred to law enforcement.

If you believe we made a mistake, you may appeal within six months by writing to support@validmeet.com. We do not tell a member who reported them.

Filing knowingly false or malicious reports is itself a violation of these Terms.

8. Subscriptions and payments

Some features require a paid subscription. Purchases are processed by Apple or Google through their app stores, not by us, and are subject to their terms as well as ours.

Subscriptions renew automatically at the then-current price until you cancel. You must cancel at least 24 hours before the end of the current period to avoid being charged for the next one. Cancel through your Apple ID or Google Play account settings; deleting the app does not cancel a subscription.

Refunds are handled by Apple or Google under their policies. We generally cannot issue them directly. Except where the law requires otherwise, payments are non-refundable and we do not provide partial-period refunds.

If we change subscription pricing, the change applies to renewals after we notify you.

9. Notifications and location features

The app uses your location to show who and what is nearby, to place beacons, and to suggest meeting spots. If you turn location off you can still use the app, but most of it will not work. Our Location Data Disclosure explains exactly what other people can see.

We send push notifications about activity relevant to you. You can control categories and quiet hours in Settings, and turn notifications off entirely in your device settings. Some messages about your account, safety, or these Terms are not optional.

10. App stores

You obtained the app from Apple or Google. Those companies are not parties to these Terms and have no obligation to provide support for the app.

This agreement is between you and us only. Apple and Google are third-party beneficiaries of these Terms and may enforce them against you. To the extent the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price; Apple has no other warranty obligation.

You represent that you are not located in a country subject to a U.S. embargo and are not on any U.S. government restricted-parties list.

11. Privacy

Our Privacy Policy explains what we collect, why, who receives it, and how long we keep it. Our Location Data Disclosure covers location specifically, because it is central to how ValidMeet works. Using the app means you accept both.

12. Copyright

If you believe content on ValidMeet infringes your copyright, our Copyright and IP Policy explains how to send a takedown notice to dmca@validmeet.com. We terminate the accounts of repeat infringers.

13. Ending this agreement

You can delete your account at any time in Settings, or from our website if you cannot access the app. Deleting the app is not the same as deleting your account, and it does not cancel a subscription.

We may suspend or terminate your account at any time, with or without notice, if we believe you violated these Terms or our Community Guidelines, if you pose a risk to others, or if we are required to by law.

Sections covering content licenses, disclaimers, liability, indemnification, and dispute resolution survive the end of this agreement.

14. Disclaimers

ValidMeet is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, secure, or error-free, that any defect will be corrected, that you will find a match or a meetup, or that any member is who they claim to be.

Face verification, photo moderation, and reporting reduce risk. They do not eliminate it, and they can be circumvented. Do not treat any signal in the app as proof that a person is safe.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

15. Limitation of liability

To the maximum extent permitted by law, ValidMeet and its officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or personal injury, arising out of your use of the service.

This includes, without limitation, harm arising from the conduct of any member, whether online or in person, and from any meetup you choose to attend.

Our total liability to you for all claims relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim arose, or one hundred U.S. dollars.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law.

16. Indemnification

You agree to indemnify and hold ValidMeet harmless from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of your content, your use of the service, your violation of these Terms, or your interaction with any other member.

17. Dispute resolution and arbitration

Please read this section carefully. It affects how disputes between us are resolved.

First, contact us. Most problems can be resolved quickly by writing to legal@validmeet.com. Both of us agree to try to resolve any dispute informally for 60 days before starting a formal proceeding.

If that does not work, you and we agree that any dispute arising out of these Terms or your use of the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Travis County, Texas, or by video or telephone at your election, and judgment on the award may be entered in any court with jurisdiction.

You and we each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. The arbitrator may award relief only to you individually.

  • Small claims. Either of us may bring an individual claim in small claims court instead, if it qualifies.
  • Injunctive relief. Either of us may seek an injunction in court to stop infringement or misuse of intellectual property.
  • Public injunctive relief. Claims for public injunctive relief are not subject to arbitration and may be brought in court.

You can opt out of arbitration within 30 days

Send an email to legal@validmeet.com within 30 days of creating your account with the subject line "Arbitration Opt-Out" and include the name and phone number or email on your account. Opting out costs you nothing and does not affect your account in any way. If you opt out, disputes go to court instead.

18. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Where arbitration does not apply, the exclusive venue for any dispute is the state or federal courts located in Travis County, Texas.

If you are a consumer resident of another U.S. state or of a country whose law grants you mandatory protections, nothing here deprives you of those protections.

19. Changes to these Terms

We may update these Terms. When a change is material we will notify you in the app before it takes effect and ask you to accept the new version. Continuing to use the service after that means you accept it.

If you do not accept a material change, you may delete your account. The version you accepted governs anything that happened before the change.

20. Other terms

  • Entire agreement. These Terms, together with the Privacy Policy, Community Guidelines, Safety Policy, and Location Data Disclosure, are the entire agreement between us.
  • Severability. If any provision is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
